1. Acceptance of these terms

These Terms of Use (the "Terms") govern your access to and use of the website located at morrisonmedia.thegaygency.com (the "Site"), operated by Morrison Media Group ("MMG," "we," "us," or "our"). By visiting or using the Site, you agree to these Terms. If you do not agree to them, please do not use the Site.

2. Who may use this site

The Site is intended for a general audience and is not directed to children. You must be able to form a binding legal agreement to accept these Terms; if you are using the Site on behalf of an organization, you are confirming that you have the authority to bind that organization to these Terms.

3. Intellectual property

The Site's content, including its text, design, layout, and the photography and press materials shown on it, belongs to Morrison Media Group or, where credited, to the respective client, partner, or outlet whose work is being featured. Press coverage and release materials are provided on the Site for informational and reference purposes; the underlying rights remain with their original publishers unless otherwise stated. Using the Site does not grant you any license to that content beyond viewing it for your own personal, non-commercial reference. You may not reproduce, redistribute, or otherwise use it for commercial purposes without our permission or the permission of the relevant rights holder. Trademarks, logos, and brand names that appear on the Site, including those of MMG's clients and partners, belong to their respective owners and appear here to identify those relationships, not to suggest endorsement beyond what is described on the page where they appear.

4. Acceptable use

When using the Site, you agree not to:

• Scrape, crawl, or systematically extract content from the Site at scale, other than through a standard search engine indexing the public pages;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Site, its underlying systems, or the servers or networks it runs on;
• Use the Site for any unlawful purpose, or in a way that violates any applicable local, state, national, or international law; or
• Submit false, misleading, or fraudulent information through the contact form, or misrepresent your identity or your affiliation with any person or organization when contacting us.

5. Contact form submissions

When you submit the contact form, you are representing that the information you provide, your name, your email address, your organization if you include one, and your message, is accurate and that you have the right to share it with us. We use your submission to respond to you, as described in our Privacy Policy. Submitting the form does not create any client relationship, partnership, or other obligation on our part; it simply lets us read what you sent and get back to you.

6. Third-party links and embeds

The Site links to third-party destinations, including morrisonmediahq.com, press coverage from outside outlets, our Instagram profile, and documents hosted on Adobe's platform, and it embeds a subscribe widget from Substack on the Press page. We do not control these third parties, and we are not responsible for their content, accuracy, or practices. 7. No professional advice

Content on the Site, including press releases, campaign descriptions, and service information, is provided for general informational purposes only. It does not constitute legal, financial, medical, or other professional advice, and you should not rely on it as a substitute for advice from a qualified professional in the relevant field.

8. Disclaimer of warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including, to the extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any content on it is complete, accurate, or up to date.

9. Limitation of liability

To the extent permitted by applicable law, Morrison Media Group will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Nothing in these Terms limits any liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold Morrison Media Group harmless from any claim, demand, loss, or damage, including reasonable legal fees, arising out of your violation of these Terms or your misuse of the Site.

11. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York, New York, and you consent to the jurisdiction of those courts.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

13. Changes to these terms

We may update these Terms from time to time, for example to reflect a change in how the Site works. When we do, we will update the effective date at the top of this page. Continuing to use the Site after a change means you accept the updated Terms.

14. Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy, make up the entire agreement between you and Morrison Media Group regarding your use of the Site, and supersede any prior agreements between you and us on that subject.
